Description

Reporting to the Chief Human Resources Officer, you will make an immediate impact advancing people strategy, nurturing our great culture and supporting our current and future Pliant team members. The successful candidate will be comfortable interacting with all levels of the organization and committed to developing programs and solutions that support the human and business needs of the organization

Essential Responsibililities

  • Build and cultivate strong partnerships with senior leaders to offer thought leadership on organizational and people-related strategy and execution to ensure a high-performing, engaged workforce.
  • Support the business with organizational change and development, influencing leaders to address complex organizational design issues where required for business success.
  • Analyze and present relevant metrics and insights to the business to drive the focus and execution of strategy.
  • Advise, guide and coach leaders at all levels within Pliant to navigate the complexities of managing teams, managing career development, developing a high-performance culture, providing conflict resolution strategies, etc.
  • Provide candid feedback about talent moves, gaps, promotions, and growth opportunities and partner with leaders to ensure development plans exist to ensure continued growth of our talent.
  • Work with managers and employees to address people relations issues, fairly representing all interests.
  • Collaborate with others in the design and implementation of People programs.
  • Adhere to the highest degree of professional standards and strict confidentiality on matters that require discretion.

Requirements

  • Bachelor’s degree with 8+ years of HR / HRBP experience in roles of increasing complexity and scope. You are a subject matter expert, with demonstrated experience in developing and managing HR programs, organizational design and overall talent management.
  • Demonstrated experience influencing business leaders individually and collectively. You have courage to propose solutions others are reluctant to address, act in the face of resistance and advocate for the best interests of the organization.
  • A strategic mindset, with an ability to focus on tactical and operational issues. You are comfortable rolling up your sleeves to get things done and the next moment being part of deeply complex strategic discussions.
  • Comfort working in a fast-paced environment where change and ambiguity are common
  • A belief in a “People-first” approach to build teams and drive effective performance across the organization.
  • Experience handling sensitive employee relations matters with tact and diplomacy. Well-versed in HR compliance, legislation and best practices.

General Counsel

Responsibilities

  • Develop functional plans for managing legal matters, including activities to be performed in-house or through outside counsel to best manage Pliant’s legal activities and minimize risk for the business.
  • Manage and advise on corporate governance, business development transaction, securities, law compliance, general transaction support, license agreements, employment law, regulatory matters, risk management, financing activities, and general contract management.
  • Ensure compliance with security regulations, corporate governance requirements and relevant legal and statutory requirements for corporate reporting of a public company. Assist in managing the Investor Relations activities in collaboration with the CFO.
  • Draft, review, and negotiate a wide variety of agreements including confidentiality, material transfer, advisory board, market research, other intellectual property-related matters with domestic and international parties including clients, partners, vendors and users ranging from global life sciences organizations to healthcare organizations, research and clinical sites, landlords, subcontractors, and government agencies.
  • Provide leadership and technical guidance to ensure an effective ethics and compliance program. Oversees the development of programs to prevent and detect violations of laws, company policies and other misconduct, promote ethical practices and ensure the implementation of the compliance program throughout the organization.
  • Oversee negotiations and completion of agreements, confidentiality disclosures, material transfer, licensing agreements and other intellectual property matters.
  • Board of Directors meetings: prepare meeting minutes, BOD resolutions, maintains appropriate corporate records.
  • Address developments in the corporate regulatory and governance environment and areas related to compliance education and training. Monitor external developments in compliance, including laws and regulations, government investigations and industry best practices.
  • Provide oversight and leadership for all legal needs of the company across business functions.

 

Qualifications

  • JD from an accredited law school and admitted to practice in California.
  • A minimum of 10 years of experience practicing law including both law firm and in-house experience of a public biotechnology company.
  • Biotechnology experience spanning the research, development, approval, launch and commercialization of products, a plus.
  • Broad legal experience covering multiple aspects of corporate law including business development, corporate contracting, , employment and others within life sciences industry.
  • Broad experience with SEC and reporting Nasdaq compliance matters, including drafting 10-Ks, 10-Qs, 8-Ks, Proxy statements and Section 16 filings in collaboration with internal and external accounting and legal teams.
  • Experience with FDA and healthcare regulatory and compliance, a plus.
  • Demonstrated experience in commercial legal analysis and planning including effectively managing multiple projects/priorities.
  • Proven ability to make sound judgements and decisions. Possess the ability quickly assess problems/situations and provide effective solutions.
  • Strong organizational and time management skills to balance working on multiple projects in parallel.

Investor Relations/Corporate Communications – Director/Senior Director

Description

This is an exceptional opportunity to establish the Investor Relations and Corporate Communications function in a new public company driven by a leadership team of proven drug developers.

Reporting to the CFO, the successful candidate will be responsible for developing and managing relationships within the investment community, including investors and sell-side analysts, via collaboration with an external IR partner.   This individual will also be responsible for all corporate communications, including corporate visibility, media and public relations, alignment with corporate strategy and public affairs, via collaboration with an external PR partner.  The Director, IR and Corporate Communications will contribute to company branding, employer branding and messaging strategy and execution, collaborating with internal Functional Leads and Human Resources. This individual will work closely and collaborate with the Leadership Team.

 

Essential Functions

 

  • Develop and oversee a comprehensive investor relations strategy.
  • Identify and prioritize management attendance at investor conferences and analyst meetings.
  • Develop the short and long-term corporate messaging aligned by stakeholder and channel.
  • Responsibility for all key corporate communications functions, including concept development, writing/editing, production, and distribution; as well as management of external agencies.
  • Develop materials for reporting and special announcements, including key messages, presentations, conference call scripts, Q&As, press releases and briefing information.
  • Develop and evolve the communication strategy to align with changes to the business.
  • Assures information complies with all product promotion guidelines, SEC regulations and adheres to Regulation FD.
  • Develop and manage digital and social media campaigns for the Company.

 

 

Qualifications

To perform this job successfully, an individual must be able to perform each essential duty. The requirements listed below are representative of the knowledge, skill, and/or ability required.

  • 8-10 years in the pharmaceutical industry, with direct experience leading Investor Relations and Corporate Communications at a public biotech company.
  • Bachelor’s degree required; Master’s degree preferred in a related discipline.
  • Demonstrated experience to lead and influence within a matrixed environment.
  • Established relationships and credibility with the investment community, media and biopharma journalists.
  • Proven track record delivering clear consistent messaging of scientific and clinical concepts across multiple stakeholders / audiences.
  • Experience in managing and overseeing contract IR/PR agencies and vendors
  • Strong presentation skills.
  • Experience setting and managing budgets.
  • Must be independent and highly motivated with the ability to multi-task in a fast-paced environment.
